Research and Development Agreements<\/strong><\/h4><\/div>
\n

Collaboration based on a research contract<\/strong>, where the University or one or more of its members agree with a company to carry out research addressing a challenge identified by the company, which pays for the service provided.<\/p>\n\n\n\n

Collaboration based on a service agreement or consultancy agreement<\/strong>, where the University or one or more of its members agree with a company to provide, for an appropriate fee, the requested consultancy services or other services related to the use of research equipment, specific knowledge, or expertise.<\/p>\n\n\n\n

Contractual research collaboration<\/strong> is a form of cooperation in which partners agree to jointly participate in conducting research. This involves combining the partners\u2019 existing knowledge, the personnel involved, as well as financial resources. It is important that the agreement clearly defines the background knowledge and other contributions (e.g., personnel, financial resources, in-kind contributions) provided by each partner to the project.<\/p>\n<\/div><\/div>\n<\/div>\n\n\n\n

European Projects<\/h4><\/div>

Opportunities for collaboration\u00a0between academia and\u00a0industry are also\u00a0provided through national\u00a0and European projects\u00a0co-financed by\u00a0various funding programmes. Through numerous international\u00a0research and development\u00a0projects, the University\u00a0of Primorska is\u00a0strongly integrated into\u00a0the European Research\u00a0Area. These projects\u00a0can provide opportunities\u00a0for cooperation with\u00a0companies and for\u00a0joint research and\u00a0development activities\u00a0supported by European\u00a0funding.<\/p>\n\n\n\n

Participation in such\u00a0projects requires prior\u00a0agreements on intellectual\u00a0property rights arising\u00a0from project activities. Already at the\u00a0application stage, partners\u00a0must define their\u00a0intention to protect\u00a0project results through\u00a0intellectual property rights\u00a0after the completion\u00a0of the project\u00a0and ensure their\u00a0effective use.<\/p>\n\n\n\n

Intellectual Property Licensing\u00a0and Transfer<\/strong><\/h4><\/div>

The University of\u00a0Primorska offers knowledge\u00a0and expertise that\u00a0companies and industry\u00a0partners can use\u00a0through licensing agreements\u00a0or agreements on\u00a0the transfer of\u00a0intellectual property rights. Such agreements typically\u00a0define whether the\u00a0rights to use\u00a0the knowledge or\u00a0intellectual property are\u00a0exclusive or non-exclusive, specify their\u00a0duration and geographical\u00a0scope, and may\u00a0also include limitations\u00a0to specific fields\u00a0of use.<\/p>\n<\/div><\/div>\n<\/div>\n\n\n\n

Protection of Confidential\u00a0Information<\/strong><\/h4><\/div>

In collaboration between\u00a0the university and\u00a0industry, we often\u00a0encounter data and\u00a0information that are\u00a0not protected but\u00a0may represent a\u00a0competitive advantage and\u00a0are therefore considered\u00a0confidential. To prevent\u00a0the disclosure or\u00a0misuse of such\u00a0information, we use\u00a0confidentiality agreements, also known as\u00a0NDAs (Non-Disclosure\u00a0Agreements). These agreements\u00a0allow us to\u00a0share our unprotected\u00a0knowledge or ideas\u00a0with others in\u00a0order to assess\u00a0potential interest in\u00a0future collaboration.<\/p>\n\n\n\n

Through such agreements, we protect the\u00a0information we disclose\u00a0(knowledge or ideas) while preventing the\u00a0recipient from using\u00a0it without our\u00a0consent or disclosing\u00a0it to unauthorised\u00a0third parties. It\u00a0is recommended that\u00a0a confidentiality agreement\u00a0is signed whenever\u00a0information is shared\u00a0with a third\u00a0party where its\u00a0disclosure could cause\u00a0economic harm to\u00a0the University of\u00a0Primorska, its members, or its business\u00a0partners, or could\u00a0jeopardise the subsequent\u00a0protection of intellectual\u00a0property rights.<\/p>\n\n\n\n

It is important\u00a0to note that\u00a0such an agreement\u00a0does not grant\u00a0any intellectual property\u00a0rights related to\u00a0the disclosed information.<\/p>\n<\/div><\/div>\n<\/div>\n\n\n\n

Students may also\u00a0be involved in\u00a0collaborations between\u00a0faculties and industry\u00a0partners, where university\u00a0researchers engage them\u00a0to help develop\u00a0additional knowledge and\u00a0skills or to\u00a0support the preparation\u00a0of their final\u00a0theses. Participation in\u00a0such collaborations entails\u00a0certain rights and\u00a0obligations for students, as the activities\u00a0may lead to\u00a0results with commercial\u00a0potential for the\u00a0participating industry\u00a0partner.
